The rules for building relationships with ConnectAgent.
These Terms outline how you can use the ConnectAgent platform, how we work together to protect your business, and what happens if something goes wrong. Clear expectations keep every campaign compliant, ethical, and effective.

1. Agreement
These Terms of Service (the “Terms”) are a legal agreement between ConnectAgent (“we”, “us”, “our”) and the entity or individual accessing or using the ConnectAgent platform (“Customer”, “you”, “your”).
By accessing the platform, creating an account, or using any ConnectAgent product, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. Services
ConnectAgent provides a cloud-based platform for multi-channel communication, including SMS messaging, email broadcasts, call management, and analytics.
Functionality, service tiers, and optional add-ons are described in your order form or subscription plan. We may modify features with reasonable notice while preserving core capabilities.
3. Eligibility & Account Security
You must be at least 18 years old and able to enter into legally binding contracts to use the services.
You are responsible for maintaining accurate account information, safeguarding credentials, and notifying ConnectAgent of unauthorized use.
We reserve the right to suspend access if suspicious activity, policy violations, or security threats are detected.
4. Acceptable Use
You will comply with all applicable laws (including the TCPA, CAN-SPAM, CASL, and GDPR where relevant) when sending communications through ConnectAgent.
Prohibited activities include: spam or phishing campaigns; harassment or hate speech; content that promotes discrimination, violence, or illegal activities; attempts to bypass platform safeguards; reverse engineering or duplicating the service; infringing intellectual property; or interfering with system stability.
Violations of this policy may result in immediate suspension or termination without refund.
5. Customer Data & Privacy
You retain ownership of the data you submit to ConnectAgent. We process Customer Data solely to provide and improve the services, according to our Privacy Policy.
You are responsible for ensuring you have the legal right to upload contact lists, message content, call recordings, and other information shared with our platform.
We provide contractual safeguards and security measures to protect Customer Data in transit and at rest.
6. Billing & Payment
Fees are outlined in your plan or order form and billed according to the billing cycle you selected (monthly or annually).
Unless otherwise stated, fees are non-refundable. Failure to pay may result in suspension or termination of services.
Usage-based charges (e.g., SMS credits, call minutes) are invoiced in arrears or deducted from prepaid balances. You authorize ConnectAgent to store payment methods and charge recurring fees.
7. Term & Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for cause if the other party materially breaches the Terms and fails to remedy within 30 days of notice.
Upon termination, you must discontinue use of the platform. We will provide access to export Customer Data for a limited period, subject to applicable laws and data retention policies.
8. Service Availability
We strive to maintain platform uptime and offer support during designated hours. Planned maintenance and emergency updates may impact availability, and we will communicate proactively whenever feasible.
Service level commitments are defined in your plan, order form, or separate service-level agreements. Credits are the exclusive remedy for failing to meet published SLAs.
9. Intellectual Property
ConnectAgent owns all rights, title, and interest in the platform, including software, documentation, and branding. No rights are granted to you other than those expressly stated in these Terms.
Feedback or suggestions you provide may be used by ConnectAgent without obligation or compensation.
10. Warranties & Disclaimers
We warrant that we will provide the services with reasonable skill and care. Except for this warranty, the services are provided “as is” without additional warranties (express, implied, statutory, or otherwise).
We do not guarantee that communications sent through ConnectAgent will be delivered, opened, or achieve specific business results.
You acknowledge that telecommunications and email delivery depend on third-party carriers, ISPs, and customer configurations beyond ConnectAgent’s control.
11. Limitation of Liability
To the maximum extent permitted by law, ConnectAgent’s aggregate liability arising out of these Terms will not exceed the fees paid by you during the twelve (12) months preceding the event giving rise to the claim.
Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
12. Indemnification
You agree to indemnify and hold harmless ConnectAgent against claims arising from your violation of these Terms, misuse of the services, or infringement of third-party rights.
ConnectAgent will notify you promptly of any claim, assist with the defense, and will not settle without your prior consent (not to be unreasonably withheld).
13. Modifications
We may update these Terms periodically. Material changes will be communicated through email, in-app notifications, or prominent notices on our website.
Continued use of the services after updates become effective constitutes acceptance of the revised Terms. We encourage you to review this page regularly.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.
Any disputes will be handled through good-faith negotiations. If unresolved, the parties agree to binding arbitration in a mutually agreed-upon location within the United States, except that either party may seek injunctive relief in court.
